In a double-spaced paper (no less than 5 pages and no more than 7), please highlight some of
the most interesting sections of the new contract between Bill Self and KU. (I have listed four
topics, below, that you should include in your paper. You should select at least four other topics
to discuss in your paper.)
Define any legal/contract terms used within the sections of the agreement that you have
highlighted. Please make sure that you provide citations for any supplemental research you
include to support your work. You should also have a “Works Cited” or Reference List at the end
of your paper.
Your paper should be submitted no later than Sunday, December 3, 2023 at 11:59 p.m. in Canvas.
NOTE: This date is LATER THAN I ORIGINALLY MENTIONED. There is no Grace Period for this
assignment, but you will have one week AFTER Thanksgiving Break to complete the
assignment.

Parties to the Contract
There are three parties to this contract. Who are they? Why do you think that Bill Self wants the
third party to be an express part of this agreement? Explain.
Do some independent research on the role of LLCs in situations such as this. In
your paper, please devote at least 2 – 3 paragraphs (supported by your research)
of why you think Bill Self uses the LLC in his lucrative relationship with KU. See,
for example, pages 633 – 642 in your textbook, including specifically the
discussions about taxation benefits (633 -34) and other advantages of operating a
business as an LLC.
License Agreement
As part of the payment provisions, KU agrees to make royalty payments to BCLT for a “perpetual
non-transferable license.” What do these provisions require of the parties?
Do some independent research regarding license agreements. In your paper,
please devote 2 – 3 paragraphs to the definition, purpose and value of a license
agreement, particularly as it relates to Bill Self. See, for example, pages 307 –
308 in your textbook.
Liquidated Damages
In Bill Self’s contract, liquidated damages are specifically identified in situations in which (1) KU
terminates the contract; and (3) Self terminates the contract to take other coaching positions.
Describe the terms of the agreement related to liquidated damages. What is required of the
parties in each of the covered termination scenarios in the contract?
Do some independent research on the role of liquidated damages clauses in a
coach’s contract. In your paper, define “liquidated damages” in contracts.
Then, please devote 3 – 4 paragraphs to the import and rationale for each of the
liquidated damages clauses in Bill Self’s contract. See, for example, pages 293
and 294 in your textbook regarding liquidated damages clauses in the business
environment.
Indemnification and Hold Harmless Clause
In Bill Self’s contract, the parties specifically agree upon issues related to indemnity and hold
harmless principles. What is an indemnification clause? What does it mean to hold another party
“harmless?” What agreement was reached by the parties in this contract related to these issues?
Do some independent research on indemnification clauses and hold harmless
agreements. (Sorry. You’ll need to look beyond the textbook for these topics.)
In your paper, devote 2 – 3 paragraphs to the definitions of these terms and the
purpose of the agreement between the parties in this case.
